1. Introduction
This Vendor and Partner Policy (the "Policy") outlines the terms and conditions governing the relationship between Ghar Se Technologies ("Ghar Se," "we," "us," or "our") and all vendors, merchants, restaurants, shopkeepers, and partners (collectively, "Vendors") who list and sell products or services through the Ghar Se platform. By registering as a Vendor, you agree to comply with all terms of this Policy.
2. Vendor Eligibility and Registration
2.1 Eligibility Requirements
To register as a Vendor on the Ghar Se platform, you must:
- Be a legally registered business entity in Pakistan with a valid National Tax Number (NTN) or Computerized National Identity Card (CNIC) for sole proprietors.
- Provide a valid business address, phone number, and email address.
- Have a valid bank account in Pakistan for payment settlements.
- Complete the KYC (Know Your Customer) verification process as required by Ghar Se.
- Be at least 18 years of age and have the legal capacity to enter into a binding contract.
- Not have been previously suspended or removed from the Ghar Se platform or any similar platform for policy violations.
2.2 Registration Process
- Vendors must complete the online registration form available on the Ghar Se website or app.
- All required documentation must be submitted, including business registration certificates, CNIC, bank details, and tax registration documents.
- Ghar Se will review the application within 5-7 business days and notify the applicant of the decision.
- Ghar Se reserves the right to reject any application without providing a reason.
- Approved Vendors must sign a Vendor Agreement electronically before commencing sales on the platform.
3. Product Listing Standards
- All product listings must include accurate and complete information, including title, description, price, images, specifications, and estimated delivery time.
- Images must be high-quality, clear, and accurately represent the product. Watermarked images or images containing contact information are prohibited.
- Prices must be listed in Pakistani Rupees (PKR) and must include all applicable taxes.
- Vendors must maintain adequate inventory levels and promptly mark items as out of stock when inventory is depleted.
- Vendors must not list any prohibited items as defined in the Ghar Se Marketplace Policy.
- Duplicate listings for the same product are not permitted.
- Ghar Se reserves the right to remove or modify any listing that does not comply with these standards.
4. Pricing and Commission Structure
4.1 Pricing
- Vendors have the freedom to set their own prices for products and services listed on the platform.
- Prices must be competitive and consistent with market rates. Ghar Se reserves the right to flag or request adjustment of prices that are deemed significantly above market rates.
- Any promotional discounts or coupons offered by Ghar Se will be applied at the platform's discretion, and the discount amount will be borne by Ghar Se unless otherwise agreed.
4.2 Commission Structure
- Ghar Se charges a commission on each successful transaction. The commission rate varies by product category and is disclosed to Vendors during the registration process and in the Vendor Agreement.
- Commission is calculated on the total order value, excluding applicable taxes and shipping charges (unless otherwise specified).
- Commission rates are subject to change with 14 days' prior notice to Vendors.
- Volume-based commission discounts may be available for high-volume Vendors, subject to separate agreement.
5. Payment Settlement Terms
- Settlement Period: Payments to Vendors are settled on a weekly basis. The settlement cycle runs from Monday to Sunday, and payments are processed on the following Wednesday.
- Minimum Payout: The minimum payout amount is Rs. 1,000. If the settlement amount is below this threshold, it will be carried forward to the next settlement cycle.
- Payment Method: Settlements are made via bank transfer to the Vendor's registered bank account. Vendors are responsible for providing accurate bank account details.
- Holding Period: Ghar Se may hold payments for orders that are under dispute or investigation until the matter is resolved.
- Settlement Fee: Bank transfer charges, if any, may be deducted from the settlement amount.
- Tax Deduction: Applicable taxes (including withholding tax) will be deducted at source as required by Pakistani tax laws.
Note: Settlement amounts represent the total order value minus Ghar Se commission, applicable taxes, and any other fees as outlined in the Vendor Agreement.
6. Quality and Service Standards
- Vendors must maintain high standards of product quality and customer service.
- Perishable goods must be fresh and within their expiration date at the time of delivery.
- Vendors must ensure proper packaging to prevent damage during transit.
- Customer complaints regarding product quality must be addressed promptly and professionally.
- Vendors must maintain a minimum average customer rating of 4.0 out of 5.0.
- Ghar Se may conduct periodic quality audits, including mystery shopping and product sampling.
- Failure to maintain quality standards may result in warnings, listing removal, or account suspension.
7. Account Suspension and Termination
Ghar Se reserves the right to suspend or terminate a Vendor's account under the following circumstances:
- Violation of any term of this Policy or the Vendor Agreement.
- Provision of false or misleading information during registration or thereafter.
- Listing or sale of prohibited or counterfeit items.
- Repeated customer complaints or failure to maintain quality standards.
- Fraudulent activity, including fake orders, fake reviews, or price manipulation.
- Non-compliance with applicable laws and regulations.
- Insolvency, bankruptcy, or business closure.
Upon suspension or termination:
- All pending listings will be removed from the platform.
- Outstanding payments will be held for 90 days to cover any potential refunds or chargebacks.
- Any remaining balance after the holding period will be released to the Vendor, subject to deduction of applicable fees and penalties.
8. Vendor Support
- Ghar Se provides dedicated Vendor support through email, phone, and an online Vendor dashboard.
- Support hours are 9:00 AM to 9:00 PM, seven days a week.
- Vendors can access real-time sales data, customer feedback, and performance metrics through the Vendor dashboard.
- Ghar Se offers training resources and best practice guides to help Vendors succeed on the platform.
9. Dispute Resolution
- Disputes between Vendors and customers should first be attempted to be resolved directly through the platform's messaging system.
- If a dispute cannot be resolved directly, either party may escalate to Ghar Se for mediation.
- Ghar Se's decision in mediated disputes is final and binding on the platform.
- Vendors may appeal Ghar Se's decision in writing within 7 days, providing additional evidence for review.
- Nothing in this Policy prevents either party from pursuing legal remedies through appropriate courts in Pakistan.
10. Confidentiality and Data Protection
- Vendors may have access to customer personal information for the purpose of order fulfillment only.
- Vendors must not use customer data for any purpose other than fulfilling orders, including direct marketing or sharing with third parties.
- Vendors must comply with all applicable data protection laws in Pakistan.
- Ghar Se implements appropriate technical and organizational measures to protect Vendor and customer data.
11. Modifications
Ghar Se reserves the right to modify this Policy at any time. Vendors will be notified of material changes via email or through the Vendor dashboard at least 14 days before the changes take effect. Continued operation as a Vendor on the platform after changes take effect constitutes acceptance of the modified policy.
